Terms of Service
These Terms of Service ("Terms") govern your use of kunaldabi.com and any SEO consulting services provided by Kunal Dabi / KD Digital. By using this website or engaging our services, you agree to these Terms.
1. Acceptance of terms
By accessing kunaldabi.com or by signing a Statement of Work (SOW), proposal, or purchase order that references these Terms, you (the "Client") agree to be bound by them. If you do not agree, do not use this site or engage our services.
These Terms apply alongside any specific SOW. In the event of conflict, the SOW governs.
2. Services offered
KD Digital provides professional SEO consulting services, including but not limited to:
- Local SEO and Google Maps Pack optimization
- Google Business Profile (GBP) management and optimization
- Geo-Grid ranking analysis and Share of Local Voice (SoLV) tracking
- Technical SEO audits and implementation
- On-page SEO and content strategy
- International SEO and hreflang architecture
- E-commerce SEO for online stores
- AI Search Optimization (AEO / GEO)
- AI Local SEO Automation
- Link-building and digital PR
We do not provide legal, financial, or tax advice. We do not run paid advertising campaigns day-to-day (though we can advise on strategy).
3. Scope of engagement
Each engagement begins with a written Statement of Work (SOW) or Fiverr / Upwork order that defines:
- The deliverables and success metrics.
- The timeline and key milestones.
- The fees and payment schedule.
- Any specific exclusions.
Work outside the agreed SOW is considered a "change request" and may require additional fees and timeline extension. We will submit a written change request for your approval before starting any out-of-scope work.
4. Payment terms
4.1 Retainer engagements
- Monthly retainers are billed in advance, at the start of each billing cycle.
- Invoices are due within 7 days of issue unless otherwise agreed in writing.
- Late payment may incur a 1.5% monthly interest charge and may result in pause of service delivery.
4.2 Project engagements
- A 50% deposit is required to initiate work.
- The remaining 50% is due upon delivery of the final deliverables.
4.3 Payment methods
Payments through kunaldabi.com are processed via Razorpay Software Pvt. Ltd. — a PCI-DSS Level 1 certified payment gateway. Accepted methods include:
- International cards — Visa, Mastercard, American Express, Diners Club, RuPay
- PayPal — for USD, EUR, GBP transactions (not available for INR)
- UPI — Google Pay, PhonePe, Paytm, BHIM, Cred, and all other UPI apps (India)
- NetBanking — 70+ Indian banks (India)
- Digital wallets — Paytm, PhonePe, AmazonPay, Mobikwik and others (India)
- EMI — credit-card EMI and BNPL (Simpl, LazyPay) (India)
Multi-currency support: USD, EUR, GBP, INR. KD Digital does not see, process, or store card or bank-account information — all payment data is tokenized and handled directly by Razorpay. GST-compliant invoicing is provided for Indian clients with GSTIN; zero-GST export-of-services invoicing is provided for international clients. Legacy clients may also continue paying via wire transfer, Wise, or Stripe by prior arrangement.
4.4 Refund policy
SEO is a performance-over-time discipline. We do not offer refunds for work already completed. However, we do offer a 14-day satisfaction review at the start of any new retainer - if you're not satisfied with the quality of work in the first two weeks, we'll refund unused retainer time pro-rata and part ways amicably.
5. Deliverables and intellectual property
Unless otherwise stated in the SOW:
- Deliverables created specifically for your project (reports, audit documents, content drafts, technical recommendations, tracking dashboards) become your property upon full payment.
- We retain ownership of our proprietary frameworks, methodologies, checklists, templates, and tooling (the "Methodology"). You receive a non-exclusive, non-transferable license to use the Methodology for your own business.
- We may use anonymized, aggregated performance data from your engagement in case studies and marketing material, unless you opt out in writing.
6. Warranties and disclaimers
We warrant that:
- We will use reasonable professional skill and care.
- We will comply with Google's Webmaster Guidelines and avoid black-hat tactics.
- We will disclose any material changes to our approach.
All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law:
- Our aggregate liability for any claim arising from the engagement shall not exceed the total fees paid by you in the three (3) months preceding the claim.
- We are not liable for indirect, incidental, consequential, special, or punitive damages - including lost revenue, lost profits, or loss of goodwill.
- We are not liable for the actions of third-party platforms (Google, Meta, Bing, etc.) or for events outside our reasonable control (force majeure).
8. Confidentiality
Each party agrees to keep the other's confidential information secret and to use it only for the purpose of the engagement. Confidential information includes business strategy, financial data, customer data, proprietary technology, and anything marked or reasonably understood to be confidential.
The confidentiality obligation survives termination of the engagement for a period of three (3) years.
9. Termination
9.1 Termination for convenience
Either party may terminate a retainer engagement with 30 days written notice. Fixed-price project engagements may be terminated by mutual written agreement; any work completed up to the termination date will be invoiced pro-rata.
9.2 Termination for cause
Either party may terminate immediately if the other party:
- Breaches a material term of these Terms and fails to cure within 14 days of written notice.
- Becomes insolvent, files for bankruptcy, or ceases business operations.
- Engages in illegal, fraudulent, or deceptive practices.
9.3 Effect of termination
Upon termination: (a) you will pay for all work completed up to the termination date; (b) we will deliver any work-in-progress materials; (c) each party will return or destroy the other's confidential information on request.
10. Dispute resolution
These Terms are governed by the laws of India. The courts of Udaipur, Rajasthan have exclusive jurisdiction over any dispute arising from these Terms.
Before starting any legal action, the parties agree to:
- Negotiate in good faith for at least 30 days to resolve the dispute.
- If negotiation fails, submit the dispute to mediation administered by a mutually-agreed mediator.
- Only if mediation fails should either party commence litigation or arbitration.
For international clients, the parties may agree in the SOW to arbitration under the rules of the Singapore International Arbitration Centre (SIAC) or the London Court of International Arbitration (LCIA), with the seat of arbitration in Singapore or London respectively.
11. Changes to these Terms
We may update these Terms periodically. For active clients, we will give at least 30 days written notice of any material change. Continued use of our services after the effective date of the revised Terms constitutes acceptance of those Terms.

These Terms constitute the entire agreement between you and Kunal Dabi / KD Digital regarding your use of kunaldabi.com and any SEO consulting services, and supersede all prior understandings.
